Jefferies M&A Year-End Review

In a difficult environment, Jefferies completed its second-best M&A year for fiscal 2022 (12 months ended Nov 30, 2022), realizing nearly $1.8 billion in total advisory revenue with the following highlights.  

Market Position 

  • Overall, Jefferies attained a market position of #6 based on the M&A fee pool in the U.S. and Europe. For transactions below $5.0 billion, we ranked #4, and for those less than $3.0 billion and $1.0 billion, we ranked #3 and #1, respectively. For each of these three size thresholds, Jefferies’ market share increased.
  • In the important area of private equity sell-side transactions, we ranked #3 measured by both revenue and number of transactions, while attaining the #1 position in the U.S. based on number of sell-side transactions.  

Transaction Metrics

  • In a market with many headwinds, Jefferies closed over 290 transactions for clients, nearly equal to 2021.
  • Other important metrics for our business include:
    • Over $290 billion in closed transaction value
    • Average transaction size exceeding $1.0 billion in value
    • Closed 79 transactions at or above $1.0 billion in value
    • Continued to lead in sell-side transactions with nearly 200 transactions completed, representing two-thirds of our transaction volume
    • Over 50% of our sell-side clients were acquired by corporations, once again demonstrating Jefferies’ broad access to relevant buyer constituencies
    • Acted as sole advisor on 80% of our transactions
