JEFFERIES ADDS ADDITIONAL SENIOR EQUITY CAPITAL MARKETS PROFESSIONAL

Charles Mather To Lead Private Placements And Pipe Transactions


NEW YORK, June 6, 2007 -- Jefferies & Company, Inc., the principal operating subsidiary of Jefferies Group, Inc. (NYSE: JEF), today announced the hiring of Charles E. Mather as a Managing Director in the Firm’s Equity Capital Markets group to lead the origination and execution of equity private placements and PIPE (Private Investment in Public Equity) transactions, in conjunction with investment banking. Mr. Mather has over 20 years of investment banking and asset management experience, most recently as Head of the Private Equity Group at Cowen and Company.

Prior to joining Jefferies, Mr. Mather was a Managing Director and Head of the Private Equity Group at Cowen and Company, where he worked for ten years. Previously, he was group head of Smith Barney's Private Equity Placement Group. Mr. Mather also worked at subsidiaries of Prudential Investment Corporation where he focused on restructurings, leveraged buy-outs and high yield private placements. In total, Mr. Mather has assisted with transactions raising an aggregate $7 billion over the course of his career. He has an AB from Brown University and an MBA from the Wharton School of the University of Pennsylvania. He is a CFA and a member of the New York Society of Security Analysts.

Mr. Mather will be based in the Firm’s New York City headquarters office.
